Legal
Merchant Agreement
Effective 5 November 2026
This Merchant Agreement applies to every store on Slaby and to the person who accepts it for the store (the "Owner"). It sits alongside the Terms of Service (slaby.in/legal/terms) and the Acceptable Use & Prohibited Items Policy (slaby.in/legal/acceptable-use), and explains what you, as a seller, are responsible for. "You" means the store and the business or individual behind it; "we" and "Slaby" mean the operator of Slaby named at slaby.in/legal/grievance.
1. You are the seller
You are the seller of record for everything sold through your store, online or at your counter. Your contract of sale is directly with your buyer. Slaby provides the software and is not a party to that contract.
You are responsible for your products and their quality, safety and legality; your listings, prices and offers; your invoices and taxes; packing, shipping and delivery; returns, refunds, exchanges, cancellations and warranties; and answering your buyers.
2. Consumer protection duties
You must comply with the Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020 as they apply to you as a seller. In particular, your store must clearly show:
(a) your legal name (or your business's registered name), your principal geographic address and a customer-care phone number or email address;
(b) the name and contact details of the person who handles your buyers' grievances;
(c) your return, refund, exchange, warranty, delivery and cancellation policies, before the buyer orders;
(d) the total price of every product including all taxes and charges, with a breakup of other charges such as delivery or COD fees where they apply;
(e) for imported goods, the country of origin, and any other details the law requires for the product.
You must not post or allow fake reviews, write or commission reviews of your own products while posing as a buyer, inflate a "strikethrough" or MRP price to make a discount look bigger, or engage in any other unfair trade practice or misleading advertisement. You must not refuse to take back goods or refund money where your own policy or the law requires it, and you must not charge a cancellation fee that you did not disclose.
You must acknowledge each buyer complaint within 48 hours of receiving it and resolve it within one month, or any shorter period the law sets. Slaby gives you a /policies page and settings to publish this information; you are responsible for filling them in correctly and keeping them current.
3. Taxes, GST and invoices
You are responsible for registering for GST where the law requires, for the GSTIN and tax rates you enter, for issuing correct tax invoices or bills of supply, and for filing returns and paying the tax on your sales. Slaby's invoice and tax tools only use the information you give them; check what they produce.
Where the law requires an e-commerce operator to collect tax at source (for example under section 52 of the CGST Act, 2017) or deduct tax at source on sales facilitated through it, it will be applied where applicable and shown in your statements, and you agree to provide the details needed for it. Slaby does not collect payment for your sales today; we will tell you in advance if that changes for any surface.
4. Payments, refunds and chargebacks
Buyer payments go directly from the buyer to your own account with your payment gateway (for example Razorpay or Cashfree), under your own agreement with that gateway. Slaby does not receive, hold, settle or pay out your sales money and is not a payment aggregator or escrow.
You are responsible for refunds, chargebacks, disputes, gateway fees and settlement issues. Cash-on-delivery and counter payments are between you and the buyer. Slaby is not liable for any amount a gateway withholds, reverses or charges back.
5. Product rules, licences and safety
You must not list anything the Acceptable Use & Prohibited Items Policy prohibits, and you must hold every licence, registration or permission needed for restricted items before you list them.
Packaged goods must carry the declarations required by the Legal Metrology (Packaged Commodities) Rules, 2011 where applicable — including the name and address of the manufacturer, packer or importer, net quantity, MRP inclusive of taxes, month and year of manufacture, and consumer-care details — and the same information must appear in your listing where the law requires it.
If you sell food, you must hold a valid FSSAI licence or registration and display its number as the law requires, and you must not sell expired or unsafe food. Products covered by BIS standards or other quality-control orders must carry the required marks. You are responsible for the safety of what you sell and for any recall.
6. Shipping and delivery
Your delivery areas, timelines and charges must be accurate and honoured. If you cannot ship an order on time, tell the buyer promptly and offer cancellation and a full refund where the delay is significant. Couriers you book through Slaby act under your own account with them; Slaby is not a carrier and is not responsible for loss or damage in transit.
7. Digital products
If you sell digital products (such as e-books, courses, templates, music, video or software), you confirm that you created each file or hold the rights to sell it to buyers on the terms you offer. Resell-rights (PLR / MRR) bundles, pirated or copied material and the other content listed in the Acceptable Use & Prohibited Items Policy are not allowed.
Slaby stores your files and delivers them to buyers through download links on Slaby's systems, so we review digital products and may refuse, pause or remove them. You must say clearly on each product what the buyer receives and your refund policy for digital products, and honour it.
8. Your buyers' personal data
For the personal data of your buyers and customers, you are the Data Fiduciary under the Digital Personal Data Protection Act, 2023, and Slaby is your Data Processor. You decide why and how that data is used; we process it only to provide the Service to you, on your instructions given through the Service and this Agreement, or where the law requires.
You must have a lawful basis (such as the buyer's consent or a legitimate use the Act allows) for the data you collect, publish your own privacy notice and grievance contact on your store, and respond to your buyers' requests to access, correct or erase their data. We will help you respond using the tools the Service provides.
Send marketing messages (WhatsApp, SMS, email) only to buyers who have agreed to receive them, and honour opt-outs at once — including when a buyer replies STOP on WhatsApp. Do not upload contact lists you have no right to message.
We keep your buyers' data secure, limit our staff's access to what is needed, use sub-processors listed in our Privacy Policy under appropriate terms, and delete or return the data when you close your store after the export period, except where the law requires us to keep it.
If we become aware of a personal data breach affecting your store's data, we will tell you without undue delay with the information we have, and we will cooperate with you in notifying the Data Protection Board of India and affected buyers as the law requires. You must tell us promptly about any breach you discover that involves the Service.
9. Staff and account security
You are responsible for your staff's use of the Service, for the roles and permissions you give them, and for removing access when they leave. Anything done through your Owner or staff accounts is treated as done by you.
10. Information we may ask for and lawful requests
To keep the platform safe and to meet our own legal duties, we may ask you to verify your phone number and email address, and to give us your legal name, address, and PAN or GSTIN where applicable, along with documents that support them. Some features (such as digital products or marketplace listing) may stay unavailable until you do. We may keep a record of this information as the law requires.
If a court, government agency or other authority makes a lawful request or order about your store, we may disclose information and act on it as the law requires, and we will tell you unless the law prevents us. You agree to cooperate with us in responding to such requests and to buyer grievances that are escalated to us.
11. Enforcement
If your store breaks this Agreement, the Terms of Service, the Acceptable Use & Prohibited Items Policy or the law, we may take the step that fits the problem, usually in this order: (1) a warning with a request to fix the issue; (2) removing or hiding listings, or restricting features such as messaging, digital products or marketplace listing; (3) suspending the store; (4) terminating the account. For serious or unlawful conduct, risk of harm, or a lawful order, we may go straight to a later step.
We will tell you what we did and why, unless the law prevents us. You may appeal within 15 days by replying to the notice or writing to the Grievance Officer named at slaby.in/legal/grievance; someone who did not make the original decision will review it. Repeated breaches lead to stronger action.
12. Indemnity
You will indemnify Slaby against claims, penalties, losses and reasonable costs (including legal fees) brought by buyers, rights-holders, authorities or other third parties arising from your products, listings, content, sales, taxes, use of buyer data or breach of this Agreement or the law.
13. Term, termination and changes
This Agreement starts when the Owner accepts it (or your store first uses the Service after it takes effect) and continues until your account ends. Either of us may end it as set out in the Terms of Service. Sections on taxes, payments, buyer data, indemnity and anything else that by its nature should continue will survive termination.
We may update this Agreement as described in the Terms of Service; the Owner will be asked to accept a new version in the store admin. The Terms of Service sections on liability, governing law and disputes also apply to this Agreement.
